Information for the holders of depositary receipts (DR) issued on Gazprom Neft PJSC shares

In implementing Federal Law dated 16 April 2022 No. 114-FZ “On Amendments to the Federal Law ‘On Joint Stock Companies’ and certain legislative acts of the Russian Federation”, Gazprom Neft PJSC has terminated its Deposit Agreement with The Bank of New York Mellon, which enabled the issue of DR on the company shares. The DR programme was discontinued at 5PM 16 June 2022.

Foreign issuer of depositary receipts: The Bank of New York Mellon, 240 Greenwich Street, New York, New York 10286, USA.

Identification number (code) of securities issue by a foreign issuer certifying title in respect of securities of a Russian issuer circulating outside Russian Federation, given in accordance with requirements of the country of issue: ISIN US36829G1076.

Each DR certifies the title to five ordinary registered shares in Gazprom Neft PJSC with state registration number 1-01-00146-А, par value of RUB0.0016, ISIN: RU0009062467.

In accordance with Deposit Agreement, holders of DR may convert them into Gazprom Neft PJSC ordinary shares until 16 June 2023. Such receipt-to-share conversion only applies to depositary receipt holders as at 27 April 2022. Holders of depositary receipts may not exercise voting or dividend rights until their DR are converted into shares. Following the conversion of DR into shares, security holders are entitled to claim unpaid dividends in accordance with the procedure established by Federal Law No. 208-FZ “On Joint-Stock Companies”.

The reason for the termination of the Depository Receipts Programme is to comply with the requirement of Federal Law No. 114-FZ of 16 April 2022, which prohibits the offering and trading of foreign securities representing shares of Russian issuers outside Russian Federation. The company submitted a request to the Government Commission to continue its DR programme, but received refusal.

The adoption of Law No 114-FZ and termination of the Programme resulted in the delisting of depositary receipts for shares in Gazprom Neft PJSC (LSE: GAZ) from the list of securities admitted to trading on the LSE from 16 June 2022.

The company shares continue to be traded on the Russian stock market (MOEX, SPB: SIBN).
