Gazprom Neft carries out its activities in Russia’s largest oil- and gas-bearing regions such as Khanty-Mansiysk Autonomous District, Yamalo-Nenets Autonomous District, Tomsk and Omsk Regions, and Orenburg region. The Company’s major oil refineries are located in the Omsk, Moscow and Yaroslavl Regions. The Gazprom Neft’ distribution network operates countrywide.

Dividends are a portion of the company's net profit distributed to shareholders proportionally, based on the number of shares they own.
Decisions on the payment, size and form of payment of dividends are made at a general shareholders’ meeting in accordance with procedures laid out by the Russian federal law „Concerning Joint Stock Companies". Dividend totals should not exceed an amount recommended by the Board of Directors of the Company.
Shareholders listed in the corporate register on the eligibility deadline for participating in the shareholder meeting (ex-dividend date) at which dividends are approved, have the right to receive those dividends.
The ex-dividend date for holders of ADRs with the right to receive declared dividends is set separately by the depository bank (Bank of New York).
The Company has formalized its dividend policy, which has been followed over the last few years, in the «Regulations on Dividend policy». The regulations fix the dividends’ minimum at 15% of Company’s net profit
Dividends can by paid quarterly, six-monthly, or annually. The total amount of dividends is determined at the annual General shareholder meeting.
In some cases, the problem could be an incomplete registration card (without bank transfer information or tax identification number). If your shares are held by a nominee, it is possible that the delay is because the nominee has not properly notified the registrar about you, notification is late or incomplete). You must contact either the Company or its registrar. They will provide you with a standard declaration on individual income.
The standard tax rate for foreign legal entities is 15%. If your company is a resident of a country with which the Russian Federation has signed a double taxation avoidance treaty, the withholding rate can be reduced. Shares are the property of the shareholder that he can manage as he wishes. He can sell shares to any individual or company that wishes to purchase them at the agreed price.
The purchase takes place based on the Purchase/Sale Agreement, set out according to Russian legislation, which is followed by reregistration of ownership documented in the Register of Shareholders of Gazprom Neft PJSC (Registrar - CJSC SR-DRAGa).
Shares of Gazprom Neft PJSC can be bought and sold with the help of professional stock market participants, who provide broker services. Usually this kind of services is provided by Investor or Broker companies.
We would like to draw your attention to the fact that Gazprom Neft PJSC doesn’t buy and sell its own shares since it is not a professional stock market participant.
Shares can be sold as a complete package or sliced into small packages. It is worth keeping in mind that profit from realization of shares is taxable. Income tax has to be paid by individuals according to the Russian law.

In accordance with the Tax Code of the Russian Federation the income tax rates are as follows:
- individual residents of the Russian Federation - 13%
- non-resident individuals - 30%
- legal entities resident/non-resident in the Russian Federation - 20%
(the tax is levied on the difference between the income earned from share sale and documented expenses associated with this sale)
The Documents that prove the expenses are given by the people/companies that stored the shares, sold or bought them, e.g. brokers, asset management company or any other company that manages individual’s shares).
If the tax agent (e.g. broker) did not withhold the income tax for some reason, then by the end of the year, in which shares are sold, the individual should provide the Income Declaration and all the supporting documents to the Tax Authorities himself.
According to the OGazprom Neft PJSC Articles of Incorporation, the Company’s authorized capital consists of 4,741,299,639 common shares and equals 7,586,079.4224 roubles.
The face value of each ordinary share is 0.0016 roubles.
According to Company’s estimates 4.32% of authorized capital are freely floating shares.

ADR’s are American depositary shares. They are traded on the world’s Stock Exchanges and are represented by ADR’s (American Depository Receipts). GPN has a sponsored level 1 ADR programme. The Bank of New York Mellon (101 Barclay Street, 22nd Floor, New York, New York, 10286) administers the ADR programme on behalf of GPN.
1 ADR is equivalent to 5 ordinary shares of Gazprom Neft PJSC.
It is possible to convert ordinary shares into ADR and vice versa.
In order to sell shares in a foreign market the shareholder has to convert them into ADR. It is feasible to ask a professional market participant to manage this operation – a broker company or a bank, who on behalf of a shareholder will do all the necessary arrangements.
