The inheritance of ownership rights to shares is governed by current legislation, similarly to the inheritance of other types of property.
In order to inherit shares of PJSC Gazprom Neft, if the owner was deceased less than six months previously, application must be made to a public notary to obtain a Certificate of title to the lawful inheritance of shares and dividends. If more than six months have elapsed since the owner’s decease, application must be made to a court at the place of residence registration of the owner of the shares (the testator) in order to obtain a court order.
The notary or judge opens probate proceedings upon application by the heir, who presents the original death certificate and a document confirming the right of the deceased relative to own the shares (this may be an extract from the register of shareholders of PJSC Gazprom Neft or ballots for voting at a shareholders’ meeting of PJSC Gazprom Neft, which were sent to the shareholder). The notary (the judge) sends a request for information as to the number of shares and the amount of dividends on the account of the testator to the place of registration of the shares, JSC DRAGA, at the address: 117420, Moscow, Novocheryomushkinskaya street 71/32; tel.: +7 (495) 719-39-29, 719-39-30. The request is made on a special form and is written in Russian. In the request the notary (the judge) indicates the family name, first name, patronymic, address and other available data, which enable the shareholder to be identified in the register. The signature on the request must be certified with a round seal. Upon receipt of information in response to the request, the notary prepares a Certificate of title to the lawful inheritance of shares and dividends or the judge issues the respective court order.
The heir then carries out the necessary actions at the place of registration of the shares of the testator (JSC DRAGA), namely:
The name of the heir should now be entered in the register of shareholders of PJSC Gazprom Neft in place of the deceased testator. Only after this procedure can the new owner of the shares receive the inheritance and manage the shares (attend shareholders' meetings, receive dividends or sell the shares).
